Folio twoWhy the holder is kept apart from the studios

HAVENPORT STUDIO LTD was incorporated on 18 August 2026 and entered on the register at Companies House for England and Wales under number 17407555, its activity recorded there under SIC code 64209, activities of other holding companies. That description is the whole of the description: the company holds interests in creative-studio trading entities and administers what those entities hold in common.

A commission belongs to the entity that accepted it. The brief, the contract, the delivery, the invoice and the money for it are that entity’s, and they appear in that entity’s books under that entity’s own number. None of them passes through this company. What is recorded here is the holding itself, the overhead that cannot sensibly be divided at the point it is incurred, and the paper that follows from both.

Keeping the two apart is a bookkeeping convenience before it is anything else: one set of books answers for the trade, a second for the ownership and the shared cost. A reader looking for work should go to the entity that made it.

Words used here: an entity is a company in which an interest is held; the holder is this company; a folio is a numbered page of a register. Folio numbers run on across all five leaves, so a reference points somewhere.

Folio threeThe ruling of the register of interests

The register of interests held is the first book the holder keeps. Set out below is its ruling: the columns the book carries, and what each is for. The entries are kept at the registered office and are not published here — a register is not a brochure.

Two disciplines govern the book. Nothing is entered without a date and a reference to the document it rests on. Nothing is erased: a correction is a new line, dated the day the error was found, citing the line it corrects.

  7. 07 Disposed The date of any disposal. Ruled and empty while there has been none.
  8. 08 Folio Where the signed original sits, so the line can be proved.

Folio fourOverheads carried centrally, and the sheet that divides them

A cost is carried centrally when dividing it at the point of purchase would cost more than the division is worth, or when the thing bought cannot be cut up: the registered office and its post, the maintenance of the registers at folio six, the bookkeeping system the group’s ledgers are kept in, a policy placed in the name of the group where one is placed at all. Each enters the holder’s ledger as one line and is then apportioned.

Apportionment needs a basis, a figure for each entity on that basis, and arithmetic a reader can repeat. The sheet below shows every step: the figures are added, each divided by the total to give a fraction and a percentage, the percentage applied to the cost, the shares added back. Where rounding leaves a difference, the sheet says how much and where it was carried.

Folio fiveWhat is not done at this address

No client contract is signed in the name of HAVENPORT STUDIO LTD. No commission is accepted here and no work is sold from here. There is no portfolio on this site and there will not be one: the work of a trading entity is that entity’s to show, under its own name, with its own client’s permission. No client money is held, and nothing is made, stored or dispatched from 73 Rivington Crescent, which is an office with filing in it.

The list is here because a holding company is most often misread as a quieter version of the thing it holds. It is not a quiet studio; it is a different kind of company that owns part of some.

In practice: an enquiry, a brief or an invoice arriving at the correspondence address is entered in the correspondence register and forwarded to the entity it concerns, unanswered on its merits.

Folio sevenWhere correspondence is entered

A message to studio@havenportstudio.buzz is read at the registered office and entered in the correspondence register on the day it is read, with a one-line subject and a folio number. Where it bears on a register — a transfer, a change of address, a request to inspect — it is cross-referenced to that register’s folio, and the reply quotes the same folio, so a later message is tied to the same entry instead of opening a second one.

Post to 73 Rivington Crescent is treated the same way, entered on the day it is opened. What may be inspected, and how a request is made, is at folio twenty-one.
